Proofpoint is circling Varonis. The deal is still unsigned — and that is the underwrite.

Talks are not a close. That sentence is the whole underwrite.

Reuters reported on September 2 that Thoma Bravo-owned Proofpoint is in discussions to acquire Varonis Systems (NASDAQ: VRNS), citing a source familiar with the matter. Bloomberg separately reported the same talks, with people saying a transaction could be announced in the coming weeks if negotiations hold — and that no final agreement has been reached. Thoma Bravo declined to comment. Proofpoint and Varonis did not immediately respond. The tape has not printed a signed SPA.

The market reaction is the only hard public print so far. Reuters put Varonis's market value at about $5 billion before the report and said shares closed up over 10%. Calcalist / CTech put the post-jump market value at approximately $5.37 billion and framed investor expectation as a premium to the pre-announcement level. That is a tape move on rumor, not a confirmed takeout price. Deal value remains Undisclosed. Do not underwrite a multiple you do not have.

What the buyers would be stitching is clearer than the check size. Proofpoint sells software that helps companies guard against cyberattacks — email and broader threat protection in the Thoma Bravo portfolio. Varonis sells data classification, exposure reduction, and behavior-driven threat detection across cloud storage and enterprise data. Reuters framed a takeover as bringing complementary data security businesses together so Proofpoint can strengthen offerings around protecting sensitive corporate information and managing access to it. That is a PE control-plane thesis: email/security distribution plus data security depth under one roof.

Sourced capital history: Thoma Bravo agreed in 2021 to acquire Proofpoint and take it private, valuing the firm at about $12.3 billion, per Reuters and Calcalist. Varonis, per Calcalist, was founded in 2004, went public in 2014, is headquartered in Miami, employs more than 2,400 people across 14 global offices, and is led by co-founder Yaki Faitelson. Calcalist also cites roughly $735 million of expected 2026 revenue at about 18% growth and operating profit of about $11 million to $13 million — treat those as reported expectations in that piece, not as CyberMerge diligence on Varonis's books. Profitability lag versus growth is the SaaS-transition overhang the same article names. Underwrite with that caveat glued on.

June context matters and does not equal September terms. Bloomberg reported in June that Varonis was exploring options including a sale after interest from private equity firms including Blackstone, Thoma Bravo, and Vista. Reuters notes shares jumped about 30% on those June reports. A process that started with multiple PE names and narrowed into Proofpoint-led talks is still a process. Rival bids can reappear. Talks can fall apart. That is why Bloomberg's "coming weeks if talks don't fall apart" language is the right epistemic state — not a victory lap.

Ask whether ~$5–5.4 billion of market value is the right starting bid — or whether AI-driven software multiples force a different premium once diligence opens the SaaS transition costs.
